1. Definitions

In these Terms & Conditions: "Service" refers to the AI consulting services offered by Cogniq, including MLOps setup, data annotation strategy, and AI process mining. "We / Us / Our" refers to Cogniq. "You / User / Client" refers to the individual or organisation accessing our website or engaging our services. "Agreement" refers to these Terms together with any specific project scope and pricing confirmed in writing.

2. Acceptance of Terms

By using our website at cogniq.life or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter a binding agreement, and accept these Terms & Conditions in full. If you are engaging on behalf of an organisation, you represent that you are authorised to bind that organisation.

3. Service Description

Cogniq provides professional AI consulting services to businesses and organisations. Our three core service areas are Machine Learning Operations (MLOps) Setup, Data Annotation and Labeling Strategy, and AI-Powered Process Mining. Services are delivered as described in project scoping documents confirmed in writing prior to engagement commencement.

Services are provided to clients within Malaysia and internationally. We reserve the right to decline engagements at our discretion.

4. Enquiries and Pre-Engagement

Submitting an enquiry via our contact form or reaching out by email or phone does not constitute a binding agreement. An engagement commences only when both parties have agreed in writing on scope, deliverables, timeline, and pricing. Initial scoping discussions are provided at no charge and carry no obligation.

Pricing is agreed in writing prior to engagement commencement. All prices are in Malaysian Ringgit (MYR) unless otherwise stated. Payment terms will be specified in the project agreement. Invoices are payable within 14 days of issue unless agreed otherwise. Late payments may attract interest at a rate of 1.5% per month on outstanding amounts.

Refunds for partially completed engagements are considered on a case-by-case basis, reflecting work completed to date. Refunds are not available for completed engagements.

7. Intellectual Property

Upon full payment, clients receive a non-exclusive, non-transferable right to use the deliverables produced for their engagement for their internal business purposes. General methodologies, frameworks, and approaches used in delivery remain the intellectual property of Cogniq and may be reused in other engagements. Client data and business information remains the property of the client at all times.

8. Confidentiality

Both parties agree to treat as confidential any non-public information shared during an engagement. Cogniq will not disclose client business information, data, or engagement details to third parties without explicit consent, except where required by law. Clients will not disclose Cogniq's proprietary methodologies or internal documentation without consent. These obligations survive termination of the engagement.

9. Disclaimers

Our services are provided on a professional advisory basis. We do not warrant that any specific business outcome, model performance metric, or process improvement will result from our engagements. Recommendations are made in good faith based on information available at the time of engagement. Outcomes depend substantially on factors outside our control, including the quality of client data and implementation decisions made by the client.

Our website is provided "as is" without warranties of any kind. We do not warrant uninterrupted availability of the website.

10. Limitation of Liability

To the fullest extent permitted by Malaysian law, Cogniq's total liability arising from or in connection with an engagement shall not exceed the total fees paid by the client for that engagement. We are not liable for indirect, consequential, or special damages of any nature. Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud.

11. Termination

Either party may terminate an engagement with 14 days' written notice. In the event of termination, the client is responsible for payment of fees for work completed to the date of termination. Cogniq may terminate immediately if the client breaches these Terms or fails to pay undisputed invoices within 30 days of their due date. Confidentiality obligations survive termination.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or related to these Terms or an engagement shall first be subject to good faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia, with Kuala Lumpur as the venue.

13. General

These Terms constitute the entire agreement between the parties regarding use of our website and, together with any project agreement, regarding consulting engagements. If any provision is found unenforceable, the remaining provisions continue in effect. Failure to enforce any provision does not constitute a waiver. Cogniq may assign its rights under these Terms to a successor entity. You may not assign your rights without our written consent.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be noted on our website. Continued use of our website after changes are published constitutes acceptance of the revised Terms. Active engagement agreements are governed by the Terms in effect at the time of agreement.
